Atmos Energy offers notes due 2032, 2052 via three bookrunners

Lexington, Ky., Sept. 27 – Atmos Energy Corp. plans to offer senior notes due 2032 and 2052, according to a 424B5 filing with the Securities and Exchange Commission.

Both series of notes may be redeemed at any time at a make-whole premium plus a margin until the par call date. The 2032 notes have a par call date on or after three months before maturity, while the 2052 notes will be callable at par on or after six months prior to maturity.

Mizuho Securities USA LLC, TD Securities (USA) LLC and U.S. Bancorp Investments, Inc. are the joint bookrunning managers.

U.S. Bank Trust Co., NA is the trustee.

Gibson, Dunn & Crutcher LLP and Hunton Andrews Kurth LLP will act as counsel for Atmos. Shearman & Sterling LLP will be counsel to the bookrunners.

Proceeds will be used for general corporate purposes, including the repayment of working capital borrowings related to the company’s commercial paper program.

Atmos Energy is a natural gas distributor and pipeline company based in Dallas.
